1. Acceptance of Terms
By accessing or using Afroel ERP ("Service"), you agree to be bound by these Terms of Service. If you are using the Service on behalf of a company, you represent that you have authority to bind that entity.
2. Service Description
Afroel ERP is a comprehensive business management platform providing: Customer Relationship Management (CRM), Inventory Management, Sales & Invoicing, Purchasing, Accounting, Human Resources, Point of Sale (POS), E-Invoicing, Production Management, Fixed Assets, Procurement, Reporting & Analytics, and Multi-Branch/Multi-Store Management.
3. Subscription and Billing
3.1 Plans: We offer Starter, Pro, and Enterprise subscription plans with features as described on our pricing page.
3.2 Billing: Subscriptions are billed monthly or annually. Annual plans receive a 20% discount.
3.3 Payment Methods: We accept CBE Bank Transfer and Telebirr. Manual payments require receipt upload for verification.
3.4 Auto-Renewal: Subscriptions automatically renew unless canceled before the renewal date.
3.5 Proration: Plan changes mid-cycle result in prorated credits or charges.
3.6 Trials: 15-day free trial available. After trial, paid subscription required to continue access.
4. Acceptable Use Policy
You agree not to:
• Use the Service for illegal activities or in violation of Ethiopian law
• Attempt to gain unauthorized access to other users' data
• Upload malicious code or attempt to disrupt the Service
• Resell or redistribute the Service without authorization (Reseller terms apply separately)
• Exceed licensed user or branch limits without appropriate subscription
5. Intellectual Property
Afroel ERP and all related content, features, and technology are owned by Afroel Technologies and protected by copyright, trademark, and intellectual property laws. You retain ownership of your business data.
6. Data Ownership and Portability
You own all data you enter into Afroel ERP. Upon request, we will provide an export of your data in standard formats (CSV, Excel, JSON). Data exports are available during active subscription and for 90 days after cancellation.
7. Service Level Agreement (SLA)
7.1 Uptime: We guarantee 99.9% uptime for Enterprise plans. Pro and Starter plans receive 99.5% uptime commitment.
7.2 Support: Email support included for all plans. Priority phone support available for Pro and Enterprise. Enterprise includes dedicated account manager.
7.3 Maintenance: Scheduled maintenance occurs during off-peak hours with advance notice.
8. Cancellation and Termination
8.1 Cancellation: You may cancel your subscription at any time. Access continues until the end of the current billing period.
8.2 Refunds: No refunds for partial periods. Prorated credits apply for annual plan cancellations.
8.3 Termination by Us: We reserve the right to terminate accounts for violation of these terms or non-payment.
9. Limitation of Liability
To the maximum extent permitted by law, Afroel Technologies shall not be liable for indirect, incidental, special, or consequential damages. Our total liability shall not exceed the amount paid for the Service in the 12 months preceding the claim.
10. Indemnification
You agree to indemnify and hold harmless Afroel Technologies from any claims arising from your use of the Service or violation of these terms.
11. Governing Law
These Terms are governed by the laws of the Federal Democratic Republic of Ethiopia. Any disputes shall be resolved in the courts of Addis Ababa.
12. Changes to Terms
We may modify these Terms with 30 days notice. Continued use of the Service constitutes acceptance of modified terms.
